Terms of Service & Commercial Software License

Key Commercial Guarantee: SuperAudit provides a ready-to-launch, white-label AI website audit software platform deployed onto your private server. Upon payment of the one-time setup fee (starting from $1,599 / ₹1,53,000), you receive perpetual commercial exploitation rights with ₹0 recurring platform fees and 100% customer revenue retention. You are authorized to bill end-clients directly via your own payment gateway.

1. Definitions & Parties

This Master Agreement is entered into by and between SuperAudit AI (“Licensor”, “we”, “us”) and the business entity, startup founder, agency operator, or individual purchasing the software deployment (“Licensee”, “Operator”, “you”).

By reserving a spot, submitting an investment deposit, or receiving deployment credentials, you confirm that you are purchasing commercial software for business operations, startup launch, client servicing, or resale under your independent branding.

2. Platform Deployment Scope

SuperAudit provides a comprehensive, end-to-end engineering deployment tailored to your business identity:

Brand Customization: Complete white-labeling with your company name, custom domain, logo, and brand color palette.
Private Cloud Deployment: Automated setup on your private cloud account (DigitalOcean, AWS, or compatible VPS) with private database configuration.
Payment Gateways Connection: Direct integration with your Payment Gateways merchant credentials so all client billings flow 100% to your bank account.
Wholesale AI Integration: Direct connection to your private OpenAI, Anthropic, or compatible LLM API keys with zero platform markup.
Operator Admin Telemetry: An administrative portal allowing you to view subscriber metrics, audit history, report generation, and billing status.

3. Commercial License & Revenue Rights

Under this commercial license, Licensee is granted perpetual, worldwide, irrevocable rights to:

Market, advertise, and sell AI audit subscriptions or pay-per-audit reports to any third-party business or agency.
Keep 100% of all gross revenues, subscription fees, and client retainers collected through the platform.
Set custom pricing plans (e.g. ₹2,999/mo, $99/mo, custom enterprise plans) with zero commission or revenue share owed to SuperAudit.
Use the software as an internal agency lead magnet, audit delivery tool, or client retainer differentiator.

4. Delivery Milestones & Setup Timeline

Deployments can take up to 30 days due to technical schedules, engineering queues, and custom integrations following receipt of: (a) confirmed setup milestone investment, (b) branding assets (domain name, logo, color specifications), and (c) cloud hosting credentials.

Upon deployment completion, Licensor conducts a formal technical orientation walkthrough covering system administration, report template customization, and merchant telemetry.

5. Operating Costs & Vendor Relationships

Licensee acknowledges that ongoing infrastructure costs are paid directly to third-party vendors without intermediary markups:

Server VPS & Database: ~$15 to $40 per month paid directly to your cloud host (e.g. DigitalOcean, AWS, Supabase).
AI Token Consumption: Wholesale token fees paid directly to your AI API vendor (a few cents per audit generated).
Domain & Payment Gateways: Standard annual domain registry and standard merchant processing fees (Payment Gateways transaction fees).

6. 30-Day Technical Warranty

All deployments include a comprehensive 30-day technical warranty starting from the handover date. During this window, SuperAudit provides priority bug fixes, server stability verification, and integration support to ensure uninterrupted platform operation.

7. Restrictions & Source Protection

While you possess complete operational rights and commercial exploitation privileges for your branded instance, you may not package, redistribute, or resell the raw, unbranded underlying codebase as an open-source clone or deployment agency service competing directly with SuperAudit.

8. Limitation of Liability & Governing Law

SuperAudit provides the platform as a commercial enterprise tool. While our auditing diagnostic algorithms follow industry best practices for SEO, accessibility, and UI analysis, Licensee remains responsible for their client relationships and commercial warranties. This agreement is governed by applicable commercial laws.
